Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Convey platform available at useconvey.app ("Service"), operated by Convey ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

Convey is an AI-powered shift scheduling platform designed for restaurants. The Service allows managers to create, optimize, and publish employee work schedules. Schedules are delivered to employees via SMS — no app download is required. Convey uses artificial intelligence to generate schedule suggestions based on employee availability, roles, and business needs.

2. Account Registration

To use Convey, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Ensuring that employee information you enter (names, phone numbers) is accurate and that you have permission to provide it.
• Notifying us immediately at [email protected] if you suspect unauthorized access to your account.

You must be at least 18 years old to create an account.

3. Acceptable Use

You agree to use Convey only for its intended purpose of managing employee schedules. You may not:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Send unsolicited marketing messages, spam, or any content unrelated to scheduling through the SMS functionality.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service in any way that could damage, disable, or impair its functionality.
• Resell, sublicense, or provide the Service to third parties without our written consent.
• Enter false or misleading employee information.

4. Plans and Billing

Convey offers the following plans:

• Free tier: Manage schedules for up to 10 employees at no cost.
• Pro plan: $19 per month flat, unlimited employees, billed monthly.

Paid plans are billed in advance on a monthly basis. You authorize us to charge your payment method on file for all applicable fees. If payment fails, we may suspend access to paid features until the balance is resolved. We reserve the right to change pricing with 30 days' written notice. Price changes will take effect at the start of your next billing cycle.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not offer prorated refunds for partial months.

5. SMS Communications

Convey delivers schedules to employees via SMS. By adding employee phone numbers to the platform, you represent that you have obtained appropriate consent from each employee to receive SMS messages related to their work schedule. Standard message and data rates may apply to recipients. Employees may opt out of SMS at any time by replying STOP.

6. AI-Generated Schedules

Convey uses artificial intelligence to generate schedule suggestions. AI-generated schedules are recommendations and should be reviewed by a manager before publishing. We do not guarantee that AI-generated schedules will meet all of your business requirements, comply with labor laws, or be free from errors. You are solely responsible for reviewing, approving, and publishing all schedules.

7. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Convey and protected by intellectual property laws. You retain ownership of the data you enter into the platform. By using the Service, you grant us a limited license to use your data solely to operate and improve the Service.

8. Limitation of Liability

To the maximum extent permitted by law, Convey and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, without limitation, damages for lost profits, lost revenue, loss of data, business interruption, or any scheduling errors.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to Convey in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Indemnification

You agree to indemnify and hold harmless Convey from any claims, losses, or damages (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including employees whose information you enter into the platform.

10. Termination

You may close your account at any time by contacting us at [email protected]. We may suspend or terminate your account at any time if:

• You violate these Terms or our Acceptable Use policy.
• Your payment is overdue for more than 14 days.
• We are required to do so by law.
• We reasonably believe your account poses a security risk.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration rather than in court, except that either party may seek injunctive relief in court for intellectual property violations.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.
